These Terms of Service ("Terms") govern your access to and use of Searcher OS (the "Service"), operated by Searcher OS ("we", "us", or "our"). By using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.
3. Account Registration
To use certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password
- Notify us immediately of any unauthorized use
- Be responsible for all activity under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Terms
4.1 Free Plan and Free Trial
New users may sign up for a Free plan with no credit card required; email verification is required to activate the account. The Free plan provides limited access to the Service at no charge and continues until you upgrade or close the account. Paid plans offer a 7-day free trial. A valid payment method is required to start a paid trial. No charge is made when the trial begins; the payment method on file will be charged automatically when the trial ends unless you cancel before the trial end date. We will send you email reminders before the first charge. You may cancel at any time during the trial via Settings → Billing, in which case you will not be charged.
4.2 Paid Subscriptions
Subscriptions are available on a monthly or annual basis at the rates listed on our website. Prices are in USD and do not include applicable taxes.
4.3 Billing
- You will be billed on the subscription start date and on each renewal date
- Subscriptions auto-renew unless canceled
- Payment is due immediately upon renewal
- Failed payments may result in service suspension or termination
4.4 Cancellation
You may cancel your subscription at any time via Settings → Billing. Cancellation takes effect at the end of the current billing period. No refunds for partial months or years.
4.5 Refunds
We offer refunds on a case-by-case basis. Refund requests must be submitted within 30 days of payment. Contact support@searcheros.ai to request a refund.
5. Acceptable Use Policy
You agree not to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Upload malicious code, viruses, or malware
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Scrape, crawl, or reverse engineer the Service
- Use the Service to spam or harass others
- Resell or redistribute the Service without permission
- Share your account with others
6. User Content
6.1 Ownership
You retain ownership of all content you upload to the Service ("User Content"), including deal data, notes, documents, and files.
6.2 License to Us
By uploading User Content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. We do not claim ownership of your User Content.
6.3 Responsibility
You are solely responsible for User Content. You represent that you have all necessary rights to upload and share your content through the Service.
7. Intellectual Property
The Service, including its design, features, code, and content (excluding User Content), is owned by Searcher OS and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8. Third-Party Services
The Service integrates with third-party services (Supabase, Stripe, OpenAI, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
9. Data Retention and Deletion
Upon account cancellation or deletion:
- Your data is retained for 6 months in case you reactivate
- After 6 months, your data is permanently deleted
- You may request immediate deletion by contacting support
- Backups may persist for up to 90 days
10. Disclaimers
10.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Investment Advice
Searcher OS is a software tool for deal sourcing and pipeline management. We do not provide financial, legal, or investment advice. Information provided by the Service (including AI analysis) is for informational purposes only. You are solely responsible for your acquisition decisions.
10.3 Accuracy of Data
While we strive for accuracy in scraped data and AI analysis, we do not guarantee completeness or correctness. You should verify all information independently before making decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEARCHER STACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Searcher OS and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including ownership provisions, disclaimers, and limitations of liability.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use after changes constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
You agree to waive any right to a jury trial or to participate in a class action.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Searcher OS regarding the Service.
16.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.
16.3 Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.
16.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
